These terms form a legally binding contract. Please read them carefully before using the service.
By accessing or using TheraScribe (the "Service") at therascribe.online, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you must not use the Service.
If you use the Service on behalf of an organization, you represent and warrant that (a) you have legal authority to bind that organization to these Terms, and (b) you agree to these Terms on its behalf.
We reserve the right to update these Terms at any time. If we make material changes, we will notify you by email or by posting a prominent notice. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of those Terms.
TheraScribe provides AI-assisted clinical documentation software for licensed mental health professionals. The Service transcribes session audio using medical-grade speech recognition and uses artificial intelligence to generate structured progress note drafts in SOAP, DAP, and BIRP formats ("Generated Notes").
IMPORTANT — Clinical Responsibility Disclaimer:
Generated Notes are drafts only. They are not a substitute for independent clinical judgment. You, as the licensed clinician, are solely responsible for reviewing, editing, approving, signing, and taking full professional and legal responsibility for any note entered into a clinical record. Haven Command LLC does not practice medicine, psychology, counseling, social work, or any licensed profession. Nothing the Service produces constitutes professional advice or a clinical opinion.
To use the Service, you must:
You agree not to permit any third party who does not meet these requirements to access or use the Service through your account.
You must create an account to use the Service. You agree to: (a) provide accurate, current, and complete information; (b) maintain the security and confidentiality of your login credentials; (c) notify us immediately at legal@therascribe.online of any unauthorized access to your account; and (d) take responsibility for all activity occurring under your account.
You may not share your account credentials with others. Each account is for a single user. Group practices requiring multiple users should contact us for volume arrangements.
As a licensed clinician using the Service, you are solely responsible for:
Zero PHI Storage Architecture:
TheraScribe is designed with a zero-PHI-storage architecture. Session audio is transmitted to a third-party transcription provider (currently AssemblyAI) and discarded immediately upon transcription completion. The resulting transcript is used solely to generate your note and is then discarded. Neither session audio nor session transcripts are retained on our servers. The only data stored is account metadata (email address, plan tier, session duration in minutes, note format selected) — none of which constitutes Protected Health Information under HIPAA.
Business Associate Agreement:
Because Haven Command LLC does not store, process, or have access to PHI as defined under HIPAA, it does not function as a Business Associate as defined under 45 CFR § 160.103 in connection with session transcription and note generation. You acknowledge that you have reviewed this architecture and determined whether it satisfies your HIPAA compliance obligations. If your legal counsel or compliance officer determines a BAA is required, please contact us at legal@therascribe.online.
Your Responsibility:
You are the Covered Entity (or Business Associate, as applicable). You are responsible for your own HIPAA compliance, including conducting your own risk assessment regarding use of the Service, ensuring you have appropriate client consents, and verifying compliance with any state-specific privacy laws.
By using the Service, you represent and warrant that your use of the Service complies with all applicable privacy laws in your jurisdiction.
Haven Command LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your lawful professional purposes in accordance with these Terms.
You agree not to:
Plans and Fees. The Service is offered on monthly subscription plans (Solo, Practice, Group+). Each plan includes a specified number of session minutes per billing cycle. Fees are listed on the pricing page and are subject to change with 30 days' notice.
Overage. If your usage exceeds your plan's included minutes, overage minutes are charged at the applicable per-minute rate for your plan. You will not be cut off mid-session. Overage charges appear on your next monthly invoice.
Free Trial. New accounts receive a 14-day free trial. No payment method is required to start. At the end of the trial, continued use requires a paid subscription.
Payment. All payments are processed by Stripe, Inc. By providing a payment method, you authorize Haven Command LLC to charge the applicable fees. You represent that you are authorized to use the payment method provided.
Billing Cycle. Subscriptions are billed monthly on the anniversary of your subscription start date. We will send a receipt to your email address on file.
Cancellation. You may cancel your subscription at any time through your account settings or by contacting legal@therascribe.online. Cancellation takes effect at the end of the current paid billing period. No refunds are issued for partial months except as required by applicable law or at our sole discretion.
Price Changes. We reserve the right to change subscription pricing with 30 days' prior notice. If you do not cancel before the effective date of a price change, you agree to the new pricing.
Taxes. You are responsible for all applicable taxes. If required, we may collect tax on top of the listed fees.
Our Intellectual Property. The Service, including its software, interfaces, design, branding, documentation, and underlying technology, is owned by or licensed to Haven Command LLC and is protected by copyright, trademark, trade secret, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service or our intellectual property except the limited license described in Section 7.
Your Content. You retain ownership of any content you input into the Service (including session audio). By submitting content, you grant Haven Command LLC a limited, non-exclusive license to process that content solely for the purpose of providing the Service to you. This license terminates when the content is deleted in accordance with our zero-storage architecture.
Generated Notes. Generated Notes produced by the Service for your sessions belong to you. Haven Command LLC claims no ownership over Generated Notes produced using your session content.
Feedback. If you provide feedback or suggestions about the Service, Haven Command LLC may use that feedback without restriction or compensation to you.
Artificial intelligence systems, including the systems underlying the Service, are probabilistic. Generated Notes may contain errors, omissions, hallucinations, or inaccuracies. They may fail to capture clinically significant information or may include information that is incorrect.
You must independently review every Generated Note before use in any clinical record. You must not copy a Generated Note into a clinical record without first reading it in full and confirming its accuracy.
You acknowledge that the transcription engine may misrecognize words, even with medical-grade models, and that low-confidence flags are provided as a convenience only — they do not guarantee that all errors are identified.
The Service integrates with third-party providers including AssemblyAI (transcription), Groq (AI note generation), Stripe (payments), and Resend (email). Your use of the Service is subject to those providers' terms as well. Haven Command LLC is not responsible for the availability, accuracy, or conduct of third-party services. We will notify you of material changes to the third-party providers we use that affect how your data is processed.
We do not guarantee that the Service will be available at all times. The Service may be interrupted for maintenance, upgrades, or circumstances beyond our control. We reserve the right to modify, discontinue, or suspend any feature of the Service at any time with reasonable notice where practicable. We are not liable for any interruption in service availability.
You agree to indemnify, defend, and hold harmless Haven Command LLC, its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third party's rights; (e) your professional acts or omissions; (f) any clinical decision you made based on Generated Notes; or (g) your failure to obtain appropriate client consents.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HAVEN COMMAND LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HAVEN COMMAND LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES. HAVEN COMMAND LLC DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR CLINICAL SUITABILITY OF ANY GENERATED NOTES.
READ CAREFULLY — THIS LIMITS OUR LIABILITY TO YOU.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HAVEN COMMAND LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR CLINICAL HARM) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE OR GENERATED NOTES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE THREE CALENDAR MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
By You. You may terminate your account at any time by canceling your subscription in account settings and contacting us at legal@therascribe.online to request account deletion.
By Us. We may suspend or terminate your access to the Service immediately, without notice, if: (a) you violate these Terms; (b) we reasonably believe your use poses a risk of harm to clients, third parties, or the Service; (c) required by applicable law; or (d) you fail to pay fees when due. We will endeavor to provide notice where practicable.
Effect of Termination. Upon termination, your license to use the Service ends. Account metadata will be deleted within 30 days of termination. Sections 3, 5, 6 (Your Responsibility), 9, 10, 13, 14, 15, 17, and 18 survive termination.
Governing Law. These Terms shall be governed by the laws of the State of California, without regard to its conflict-of-law principles.
Informal Resolution. Before initiating any formal legal proceeding, you agree to contact us at legal@therascribe.online and attempt to resolve any dispute informally for at least 30 days.
Binding Arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California (or via video conference at either party's election). Judgment on the arbitration award may be entered in any court with jurisdiction.
Class Action Waiver. YOU AND HAVEN COMMAND LLC AGREE THAT EACH MAY ONLY BRING CLAIMS AGAINST THE OTHER IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Exceptions. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to prevent irreparable harm. Small claims court actions within the applicable jurisdictional limit are also excluded from arbitration.
Venue (Non-Arbitration). For any matters not subject to arbitration, you and Haven Command LLC consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
Entire Agreement. These Terms (together with the Privacy Policy and any supplemental terms incorporated herein) constitute the entire agreement between you and Haven Command LLC regarding the Service and supersede all prior agreements.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver. Haven Command LLC's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights under these Terms freely, including in connection with a merger, acquisition, or sale of assets, upon notice to you.
Force Majeure. Haven Command LLC shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, war, terrorism, civil disturbance, governmental action, labor disputes, internet disruptions, or failures of third-party service providers.
Export Compliance. You agree to comply with all applicable U.S. and foreign export control and trade sanctions laws and regulations.
No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
